1. Acceptance of Terms

By accessing or using SeatKing.com (the "Site"), creating a dealer account, or placing an order, you ("Dealer") agree to be bound by these Terms and Conditions ("Terms") and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using this Site.

These Terms constitute a binding legal agreement between you and SeatKing LLC, a limited liability company registered in the State of Kansas ("SeatKing," "we," "us," or "our").

2. Dealer Account Eligibility

Access to SeatKing.com is restricted to approved dealers and distributors only. To create and maintain a dealer account, you must:

  • Be a licensed business entity in good standing in your state of operation
  • Provide a valid Employer Identification Number (EIN) or Tax ID at registration
  • Provide accurate business name, address, phone number, and contact information
  • Maintain a valid credit card on file for purchases
  • Not be a direct competitor of SeatKing LLC

SeatKing reserves the right to approve, deny, or revoke dealer account access at any time, for any reason, with or without notice.

3. Ordering and Minimum Order Quantities

All products on SeatKing.com are sold in gaylord container quantities only. Minimum order quantities (MOQ) are as follows:

  • SK700 Suspension Seat: 4 seats per gaylord
  • SK130 Series Seat: 6 seats per gaylord
  • SK220 Series Seat: 6 seats per gaylord
  • SK030 Series Seat: 8 seats per gaylord

No partial gaylord orders are accepted. No single-seat purchases are available through this portal. By placing an order, you confirm that you are ordering in the quantities specified above.

4. Pricing and Confidentiality

Dealer net pricing displayed on SeatKing.com is confidential and proprietary to SeatKing LLC. By accessing dealer pricing, you agree:

  • Not to disclose, publish, or share dealer net pricing with any third party
  • Not to use dealer pricing for competitive analysis or market comparison without written consent from SeatKing
  • That pricing is subject to change at any time with or without notice
  • That pricing errors on the Site do not obligate SeatKing to honor the incorrect price

5. Payment Terms

All orders must be paid in full by credit card at the time of checkout. SeatKing.com accepts major credit cards via Shopify Payments (processed by Stripe).

Net-30 credit terms are not offered through this portal. Any exception to this payment policy requires written approval from SeatKing's General Manager and is handled entirely outside of this platform.

By providing payment information, you authorize SeatKing to charge your card for the full order amount including applicable shipping fees.

6. Order Processing and Lead Times

Orders are processed on business days (Monday through Friday, excluding federal holidays). Standard lead times are:

  • Please allow up to 6 weeks for your order to ship.
  • Please allow up to 6 weeks for your order to ship. Logo customization does not add a separate lead-time window.

Lead times begin upon order confirmation and full payment. SeatKing is not responsible for delays caused by shipping carriers, manufacturing backlogs, or force majeure events.

7. Cancellations

Orders cannot be canceled once they have been placed.

8. Intellectual Property

All content on SeatKing.com including product images, designs, text, logos, and the SeatKing brand marks are the exclusive property of SeatKing LLC and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Site content without prior written consent from SeatKing.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SeatKing LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or lost data arising from your use of the Site or your dealer relationship with SeatKing. SeatKing's total liability to you for any claim arising from these Terms shall not exceed the amount paid by you for the order giving rise to the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Kansas.

11. Changes to Terms

SeatKing reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
