Dealer Program Agreement

Effective Date: October 1, 2026

This Dealer Program Agreement ("Agreement") is entered into between SeatKing LLC and the dealer entity registering through SeatKing.com ("Dealer"). By completing the dealer registration process, Dealer agrees to the following terms.

1. Dealer Status

Upon approval of your dealer registration, SeatKing grants you a non-exclusive, non-transferable right to purchase SeatKing products at dealer net pricing for resale to end customers. This is not a franchise agreement and does not grant you exclusive territory rights.

2. Founding 150 Dealer Benefits

Dealers who register during the Founding 150 program launch window are entitled to the following benefits, subject to the terms below:

  • Free shipping on all qualifying orders through December 31, 2026
  • Free logo setup — one-time digitization of your dealership logo at no charge
  • Priority placement in the SeatKing dealer locator on SeatKing.com
  • Early access to new products and limited edition designs before general release
  • Founding dealer pricing locked in for [CONFIRM DURATION WITH BRAD]

Founding 150 benefits apply to the first 150 approved dealer accounts. Benefits are non-transferable and apply to the registered dealer entity only. Free shipping benefit expires December 31, 2026 regardless of registration date.

3. Dealer Obligations

  • Maintain accurate business registration and contact information in your dealer account
  • Purchase products in gaylord quantities only — no single-seat orders
  • Pay for all orders in full by credit card at time of checkout
  • Not resell SeatKing products below MSRP without prior written approval
  • Not disclose dealer net pricing to end customers or competitors
  • Not represent yourself as an authorized service center or warranty provider without written authorization from SeatKing

4. Logo License

By uploading your dealership logo for use on SeatKing products, you grant SeatKing LLC a limited, non-exclusive license to reproduce your logo on seat products solely for the purpose of fulfilling your orders. SeatKing will not use your logo for any other purpose without your consent. You represent that you have the right to grant this license and that your logo does not infringe any third-party intellectual property rights.

5. Pricing Confidentiality

Dealer net pricing is confidential commercial information. You agree not to disclose, publish, or share dealer pricing with any third party, including end customers, other dealers, or competitors.

6. Account Suspension and Termination

SeatKing may suspend or terminate your dealer account at any time for:

  • Violation of any term of this Agreement
  • Non-payment or payment disputes
  • Disclosure of confidential pricing information
  • Conduct that damages the SeatKing brand or reputation
  • Fraudulent registration information

Upon termination, all Founding 150 benefits are forfeited and outstanding orders will be fulfilled at SeatKing's discretion.

7. No Warranty of Sales Volume

SeatKing makes no representation or warranty regarding the commercial success of SeatKing products in your market. Dealer registration does not guarantee any minimum sales volume, territory protection, or exclusivity.

8. Governing Law

This Agreement shall be governed by the laws of the State of Kansas.
